Welcome to SMARTUAL PHILIPPINES ENTERPRISES, INC., doing business under the name of Davao Accountants. By accessing or using our website and services, you agree to be bound by these Terms of Service (“Terms”). Please read them carefully. Davao Accountants provides outsourcing, professional employer organization (PEO), and consulting services to businesses. Our services are designed to assist clients with various administrative, office support, and operational tasks. The specific details of the services provided will be outlined in a separate agreement between Davao Accountants and the client.
2. Eligibility
By using our services, you represent and warrant that you are authorized to enter into this agreement on behalf of your company or organization. You must be at least 18 years old to use our services.
3. Client Responsibilities
As a client, you agree to:
- Provide Accurate Information: Ensure that all information provided to us is accurate, complete, and up-to-date.
- Comply with Laws: Abide by all applicable laws and regulations in connection with your use of our services.
- Timely Payments: Pay all fees and charges associated with our services in a timely manner, as outlined in your service agreement.
- Cooperate: Provide necessary information and cooperation to enable us to deliver our services effectively.
4. Fees and Payment
Fees for our services will be detailed in your service agreement. You agree to pay all fees and charges promptly. Late payments may result in additional charges or suspension of services. All fees are non-refundable unless otherwise stated in your agreement.
5. Termination of Services
Either party may terminate the service agreement by providing written notice in accordance with the terms of the agreement. Upon termination, you agree to pay for all services rendered up to the termination date. We reserve the right to terminate or suspend services immediately if you breach any of these Terms.
6. Intellectual Property
All content, materials, and intellectual property related to our services, including our website, are owned by Davao Accountants or our licensors. You are granted a limited, non-exclusive license to use our services solely for your business needs. You may not reproduce, distribute, modify, or create derivative works from our content without our prior written consent.
7. Confidentiality
Both parties agree to maintain the confidentiality of all non-public information disclosed in connection with the services. This includes but is not limited to, business plans, financial information, employee data, and proprietary information. Confidential information shall not be disclosed to any third party without prior written consent except as required by law.
8. Limitation of Liability
To the fullest extent permitted by law, Davao Accountants shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability for any claims related to our services shall not exceed the total fees paid by you in the six (6) months preceding the claim.

9. Indemnification
You agree to indemnify and hold harmless Davao Accountants, its employees, agents, and affiliates from any claims, damages, or losses arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.
10. Dispute Resolution
In the event of a dispute, both parties agree to attempt to resolve the issue amicably through negotiation. If a resolution cannot be reached, the dispute will be submitted to binding arbitration in accordance with the rules of the Republic of the Philippines. The decision of the arbitrator shall be final and binding.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the courts of the Philippines.
12. Changes to Terms
We reserve the right to update or modify these Terms at any time. Any changes will be posted on our website with the updated effective date. Your continued use of our services after any changes constitutes your acceptance of the revised Terms.
13. Entire Agreement
These Terms, together with your service agreement, constitute the entire agreement between you and Davao Accountants and supersede any prior agreements or understandings, whether written or oral.
